Introduction

KlarityTech Corp. provides digital marketing services to clients who wish to promote their businesses on social media platforms, such as Instagram. The following terms and conditions govern the use of our services.

Services

KlarityTech Corp. will provide digital marketing services as described in our proposals and agreements with our clients. We will use commercially reasonable efforts to deliver the services in a timely and professional manner.

Payment

Our clients will pay the fees for our services as outlined in our proposals and agreements. All payments are non-refundable.

Intellectual Property

KlarityTech Corp. retains all intellectual property rights in the services provided, including all creative content, technology, and confidential information. Our clients are granted a limited, non-exclusive license to use the services for the purpose of promoting their businesses on social media platforms.

Confidentiality

KlarityTech Corp. and our clients will maintain the confidentiality of all confidential information disclosed by each party to the other. Confidential information will not be used or disclosed for any purpose other than the performance of the services.

Warranties and Representations

KlarityTech Corp. warrants that the services will be performed in a professional and competent manner. Our clients warrant that they have the right to promote their businesses on social media platforms and that the use of the services will not infringe the intellectual property rights of any third party.

Limitation of Liability

KlarityTech Corp. will not be liable for any indirect, incidental, or consequential damages arising from the use of the services. Our liability to our clients will not exceed the total fees paid for the services.

Termination

Either party may terminate the agreement upon written notice if the other party breaches any material term or condition. Upon termination, KlarityTech Corp. will cease providing the services and will delete all confidential information.

Governing Law

The agreement will be governed by the laws of the jurisdiction in which KlarityTech Corp. is located. Any disputes arising from the agreement will be resolved through arbitration.

Entire Agreement

The agreement constitutes the entire understanding of the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the services provided by KlarityTech Corp.

Amendments

The agreement may be amended only by written agreement executed by both parties.
